Terms and Conditions of Trade
Wait Times for Manufacture & Delivery
Curtains, blinds, soft furnishings and upholstery have a lead time of 4–6 weeks from receipt of deposit and final approval of selections, measurements and specification availability, delays and order complexity.
Motorised curtains or blinds, plantation shutters, high volume or complex orders 6–9 weeks.
Imported or European fabrics may extend these timeframes and are subject to supplier and freight delays outside our control.
A 50% deposit is required before any materials are ordered or manufacture begins. The balance is payable prior to pickup, delivery or installation.
Once the order is nearing completion, Cha Studios will contact the client to arrange pickup, delivery or installation, subject to scheduling availability.
Where required, a final check measure may be completed before manufacture and/or installation, and any changes identified may affect lead times, scheduling or the quotation.
Installation of new curtains and blinds is included. Removal of existing items is not included and, where required, may incur an additional charge depending on site conditions and complexity.
Disposal of removed items is not included and remains the client's responsibility unless otherwise agreed in writing.
Warranty
Cha Studios provides a 12-month workmanship warranty on fabrics, installation, the operating/components of all our products from the date of delivery or installation. Manufacturer warranties apply to third-party products and components where relevant. Any damage caused by misuse, accidental damage, excessive or forceful handling, or improper care is excluded from warranty and, where repair or replacement is possible, Cha Studios may provide a separate quotation for those works.
Terms and Conditions of Trade
This document applies to the supply of goods and services including curtains, blinds, tracks, hardware, upholstery, soft furnishings, plantation shutters, zip screens, measuring, delivery, installation, removal and related work.
By accepting a quotation, signing and/or paying a deposit, the Client acknowledges that they have read and accepted these Terms and Conditions of Trade.
1. Definitions
1.1 Cha Studios means the business trading as Cha Studios, including its owner, employees, contractors, agents and authorized representatives.
1.2 Client means the person, company, or other entity requesting or acquiring any Goods and/or Services from Cha Studios, including any person acting on its behalf.
1.3 Goods means all goods supplied by Cha Studios, including curtains, blinds, tracks, hardware, plantation shutters, zip screens, upholstery items, cushions, slipcovers, soft furnishings, fabric, trims, foam, accessories and related products.
1.4 Services means all services supplied by Cha Studios, including consultation, measuring, quoting, design input, sourcing, sewing, fabrication, upholstery, recovering, installation of plantation shutters and zip screens, delivery, installation, dismantling, removal and disposal services.
1.5 Quotation means any written quote, estimate, proposal or scope of works issued by Cha Studios.
1.6 Price means the amount payable by the Client for the Goods and/or Services, including any approved variations, delivery, installation, removal, disposal, freight, storage and additional charges.
1.7 Site means the location at which measuring, delivery, installation or any other Services are to be carried out.
2. Acceptance
2.1 These Terms and Conditions are accepted by the Client upon the earlier of signing an acceptance, approving a quotation in writing, paying a deposit, or instructing Cha Studios to proceed with the supply of any Goods and/or Services.
2.2 These Terms and Conditions apply to all Goods and Services supplied by Cha Studios unless otherwise agreed in writing.
2.3 No variation to these Terms and Conditions is binding unless agreed by Cha Studios in writing.
3. Quotations
3.1 Quotations are valid for 30 days from the date of issue unless otherwise stated.
3.2 A quotation is based on the information, measurements, selections, specifications and site conditions known at the time it is prepared.
3.3 Cha Studios reserves the right to amend a quotation where there is a variation requested by the Client, an error or omission in measurements, quantities or specifications supplied by the Client, a change in material, fabric, hardware, supplier, freight or labour costs, a change in site conditions, access requirements or installation scope, or any other unforeseen circumstance affecting cost or delivery.
3.4 Where a quotation is based on plans, photographs or client-supplied measurements only, it is an estimate and may be revised following site inspection or check measure.
3.5 The Client is responsible for ensuring that all selections, approvals, finishes, specifications and instructions are correct before manufacture or work commences.
4. Deposit and Payment
4.1 A 50% deposit is required before Cha Studios will order materials, reserve production capacity or commence work, unless otherwise agreed in writing.
4.2 Unless otherwise agreed in writing, the balance of the Price is due prior to delivery or installation.
4.3 Cha Studios reserves the right to withhold manufacture completion, delivery, collection or installation until payment has been received in full.
4.4 Payment must be made by bank transfer, cash, or any other method approved by Cha Studios.
4.5 The Client is not entitled to withhold payment by reason of any claim, set-off or dispute unless required by law.
4.6 If payment is not made when due, Cha Studios may suspend further work, withhold delivery or installation, charge reasonable administrative and recovery costs, and recover all reasonable costs incurred in collecting the debt, including legal costs where permitted by law.
5. Custom-Made Goods
5.1 Goods supplied by Cha Studios are custom-made, made-to-measure, cut-to-order, upholstered-to-order or specially sourced for the Client.
5.2 No fabric, trims, foam, hardware, tracks, blinds, components or other custom materials will be ordered, and no manufacture will commence, until the deposit has been received.
5.3 Once materials have been ordered or work has commenced, the Client may not cancel the order without being liable for all costs incurred by Cha Studios up to the date of cancellation, including labour, supplier charges, freight, administration and loss arising from the cancellation.
5.4 Custom-made Goods are not returnable for change of mind.
6. Materials and Client Selections
6.1 Material costs may vary prior to final confirmation and may be adjusted to reflect actual supplier pricing.
6.2 The Client is responsible for approving the suitability of selected materials for their intended use.
6.3 Variations in dye lot, weave, texture, print placement, pile, sheen, slubbing, shrinkage and other natural or manufacturing variations are inherent in textiles and materials and do not constitute defects.
6.4 Cha Studios is not responsible for flaws, shortages, unsuitability or performance issues in client-selected or client-supplied materials, except as required by law.
7. Measuring and Check Measure
7.1 Any initial measure prepared for quoting purposes is based on the information available at the time and may require confirmation prior to manufacture or installation.
7.2 Where required, Cha Studios may carry out a final check measure prior to manufacture and/or installation to confirm dimensions, site conditions and specifications.
7.3 Any variation identified at check measure may result in an adjustment to the quotation, lead times, installation scheduling or product specifications.
7.4 If the Client declines a check measure and elects to proceed on client-supplied measurements, Cha Studios is not responsible for inaccuracies arising from those measurements.
8. Delivery, Lead Times and Installation
8.1 Any stated lead time, delivery date or installation date is an estimate only.
8.2 Lead times are calculated from the date the deposit is received and all final selections, approvals, specifications and measurements have been confirmed.
8.3 Where an order includes multiple Goods or Services, the longest applicable lead time may apply to the project as a whole.
8.4 Cha Studios will use reasonable endeavours to meet estimated timeframes but is not liable for delay caused by fabric availability, supplier shortages, freight delays, weather, site access issues, illness, peak periods or any other circumstance beyond its reasonable control.
8.5 Once the order is nearing completion, Cha Studios will contact the Client to arrange a suitable delivery or installation date. Installation dates are subject to availability.
8.6 The Client must ensure that safe and clear access is available to the Site at the agreed time. Additional labour or return attendance charges may apply where access is restricted, the Site is not ready, or installation is delayed by others.
9. Removal, Dismantling and Disposal of Existing Items
9.1 Removal of existing curtains, blinds, tracks, brackets, hardware, pelmets, upholstery, cushions or other furnishings is not included unless expressly stated in the quotation.
9.2 Where Cha Studios agrees to remove or dismantle existing items, that work will be charged as an additional service unless otherwise stated in writing.
9.3 Disposal of removed items is not included unless expressly stated in writing.
9.4 Bulky, oversized, heavy, fragile or long items, including existing curtain tracks, battens, pelmets, hardware or blinds, may require special handling, third-party transport, skip hire or separate disposal arrangements, all of which will be at the Client's cost.
9.5 Cha Studios may decline to transport removed items where transport is impractical, unsafe or outside the scope of the quoted works. Unless otherwise agreed, removed items may be left at the Site for the Client's disposal.
9.6 If existing items are not removed by the Client and removal is not included in the quotation, Cha Studios may charge additional labour, rescheduling or return attendance fees.
9.7 Cha Studios is not responsible for patching, painting, electrical disconnection, wall repairs, ceiling repairs, tile repairs, plaster repairs, making good, or rectification of any condition revealed by the removal of existing items, unless specifically included in writing.
10. Site Conditions and Existing Structures
10.1 Cha Studios is not liable for damage arising from weak, brittle, aged or deteriorated walls, ceilings, render, plaster, tiles, masonry, timber or existing fixings.
10.2 Cha Studios is not responsible for hidden pipes, wiring, cabling, studs, structural elements or pre-existing defects not apparent on reasonable inspection.
10.3 Marks, holes, fading, discolouration, cracked plaster, paint variation, enlarged drill holes and other surface conditions revealed after removal of existing products do not constitute damage caused by Cha Studios.
10.4 Where concealed conditions or site issues require additional labour, materials or a revised installation method, Cha Studios may issue a variation for approval and charge accordingly.
11. Upholstery and Soft Furnishings
11.1 In relation to upholstery, recovering, cushions, banquette seating, slipcovers and other soft furnishings, Cha Studios may rely on the existing frame, foam, webbing, springs, fillings or internal structure unless replacement works are specifically included in the quotation.
11.2 Unless expressly quoted, the Price does not include internal frame repairs, rebuilding, re-webbing, re-springing, foam replacement, timber treatment, structural joinery or other hidden remedial work.
11.3 If hidden damage, structural weakness or deterioration is discovered after stripping existing upholstery, Cha Studios may issue a variation before continuing the work.
11.4 Due to the handmade nature of upholstery and soft furnishings, reasonable tolerances, seam placement variations, pattern placement differences, compression, settling and comfort variation do not constitute defects.
11.5 Foam, feather, fibre and fillings naturally soften and compress with use over time and this does not constitute a defect.
12. Risk and Title
12.1 Risk in the Goods passes to the Client upon delivery to the Site, collection by the Client, or installation, whichever occurs first.
12.2 Ownership of the Goods does not pass to the Client until all amounts owing to Cha Studios have been paid in full.
12.3 Until title passes, Cha Studios may retain possession of the Goods, withhold installation, or recover the Goods where lawful to do so.
13. Defects and Claims
13.1 The Client must inspect the Goods and Services promptly upon delivery or installation.
13.2 Any claim for visible defect, shortage, damage or incorrect supply must be notified to Cha Studios in writing within 5 days of delivery or installation.
13.3 Cha Studios must be given a reasonable opportunity to inspect and assess any alleged defect before any third party carries out repairs, alterations or replacement work.
13.4 Installed goods, custom-made goods, cut fabrics and specially ordered materials are not returnable for change of mind.
13.5 Nothing in these Terms and Conditions excludes any rights the Client may have under applicable consumer law.
14. Warranty
14.1 Cha Studios provides a 12-month workmanship warranty on installation, manufacturing, sewing, upholstery and fabrication of all Goods and Services, including curtains, blinds, plantation shutters and zip screens, from the date of delivery or installation.
14.2 Manufacturer warranties apply to third-party fabrics, blinds, tracks, hardware, motors, foam and other components where applicable.
14.3 Any fault arising from normal intended use during the warranty period will be assessed and, where covered, repaired or rectified within a reasonable time.
14.4 This warranty does not cover fair wear and tear, fading, sun damage, misuse, accidental damage, excessive or forceful handling, improper cleaning, moisture damage, mould, corrosion, unauthorised alterations, or issues arising from client-supplied materials.
14.5 Damage caused by misuse, accidental damage, excessive handling or improper care is excluded from warranty and, where repair or replacement is possible, Cha Studios may provide a separate quotation for those works.
14.6 Settling, compression and softening of foam, fibre, feather and other soft fillings over time do not constitute defects.
14.7 This warranty is in addition to any rights and remedies the Client may have under applicable consumer law.
15. Cancellation and Rescheduling
15.1 Once an installation date has been booked, the Client must give reasonable notice if rescheduling is required.
15.2 Additional charges may apply for late rescheduling, failed attendance, return visits or aborted installation caused by the Client.
15.3 If no authorised person is present at the scheduled attendance time, or the Site is not ready, Cha Studios may charge a call-out or re-attendance fee.
15.4 Cha Studios may reschedule works where reasonably necessary due to weather, safety concerns, illness, supplier delays or other causes beyond its control.
16. Limitation of Liability
16.1 To the maximum extent permitted by law, Cha Studios' liability for any claim arising out of the supply of Goods or Services is limited, at Cha Studios' option, to repairing or replacing the Goods, re-supplying the Services, or refunding the price paid for the relevant Goods or Services, where such limitation is permitted by law.
16.2 Cha Studios is not liable for any indirect, consequential or economic loss, including loss of profit, loss of rent, delay costs or loss of amenity, except where liability cannot lawfully be excluded.
16.3 Nothing in these Terms and Conditions excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded.
17. Storage
17.1 If delivery, collection or installation is delayed by the Client after the Goods are ready, Cha Studios may charge reasonable storage and re-handling fees.
17.2 If the Client fails to collect or accept delivery of Goods within a reasonable time after notice, Cha Studios may store or move the Goods at the Client's risk and expense.
18. Subcontracting
18.1 Cha Studios may engage subcontractors, installers, upholsterers, delivery providers or other trades to carry out part or all of the work and remains responsible for work performed on its behalf to the extent required by law.
19. Privacy
19.1 The Client authorises Cha Studios to collect, use and disclose personal information reasonably necessary to provide quotations, process orders, arrange delivery and installation, administer accounts and recover debts.
19.2 Personal information will be handled in accordance with applicable privacy laws.
20. General
20.1 If any provision of these Terms and Conditions is invalid or unenforceable, the remaining provisions will continue in full force and effect.
20.2 These Terms and Conditions are governed by the laws of New South Wales, and the parties submit to the jurisdiction of the courts of New South Wales.
20.3 Any failure by Cha Studios to enforce a right does not amount to a waiver of that right.
20.4 These Terms and Conditions prevail unless expressly varied in writing by Cha Studios.
By accepting the quotation, signing and paying the deposit, the Client acknowledges that they have read, understood and accepted these Terms and Conditions of Trade.
